SUMMARY OF GOVERNING DISPATCH TERMS (49 CFR § 371.2):

1. Bona Fide Agent: Carrier appoints Almajdoub Dispatch as independent administrative and marketing dispatch agent. Almajdoub Dispatch is not a broker.

2. Direct Payment: 100% of freight charges, accessorials, detention ($65/hr after 2h), layover, and TONU are paid directly to Carrier or Carrier's factoring company.

3. Zero Forced Dispatch: Carrier retains sole, absolute discretion to accept or reject any load proposed by Dispatcher without penalty.

4. Limited Power of Attorney: Carrier authorizes Dispatcher to execute broker carrier packets and rate confirmations solely upon prior approval by Carrier.

5. Safety & Telemetry: Voluntary telemetry enables winter mountain chain alerts, Wyoming wind blowover warnings, and 49 CFR § 395.1(b) adverse driving safe harbor extensions.

Limited Power of Attorney: I hereby grant Almajdoub Dispatch authority to contact brokers, negotiate rates, complete setup packets, and sign load confirmations solely with my prior verbal or written approval. Load Board Sub-Seat & MC Authorization: I explicitly authorize Dispatcher to utilize my USDOT and MC credentials for carrier setup packets, and consent to provisioning an authorized dispatcher sub-seat under my MC registration on electronic freight load boards (including DAT One and Truckstop) strictly for sourcing and booking freight for my designated power unit. Independent Sole Proprietor & Universal Assignment: I acknowledge that Dispatcher currently operates as an independent sole proprietor, and I consent that this agreement may be assigned to any organized corporate entity (US LLC, UK LTD, Dubai Freezone company, or other jurisdiction) owned or controlled by Ahmed Almajdoub upon simple written/electronic notice without modifying my agreed grandfathered pricing. Direct Payment: I confirm that broker payments route directly to my bank account or factoring company, and I agree to remit the dispatch commission weekly on Friday upon receipt of the settlement ledger.
